These Terms of Service ("Terms") govern your access to and use of the websites, applications, platforms, and services (collectively, the "Services") provided by Safebridge Transfers Inc. ("Safebridge Transfers Inc," "we," "us," or "our").
1. Definitions
- Consumer means an individual who uses the Services primarily for personal, family, or household purposes.
- Business User (or Non-Consumer) means any user that is not a Consumer, including a company, sole proprietor using the Services for business purposes, or anyone acting on behalf of an organization.
- Regulatory Requirements means applicable laws, regulations, and supervisory expectations relating to payment services, money services, AML/KYC, fraud prevention, operational risk management, and safeguarding of end-user funds (as applicable to the Services and to Safebridge).
- Payment Service Provider: Where applicable, Safebridge may be considered a payment service provider under Canadian retail payments supervision frameworks and operates controls aligned with applicable requirements.
By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Services.
2. About Safebridge
Safebridge Transfers Inc. is a financial technology company providing secure, compliant payment and transfer services in accordance with applicable Canadian laws and regulatory requirements, including anti-money laundering, counter-terrorist financing, and identity-verification obligations.
Our Services are offered in accordance with applicable Canadian laws and regulatory requirements, including anti-money laundering and counter-terrorist financing obligations.
Safebridge provides secure, compliant payment and transfer services in accordance with applicable Canadian laws and regulatory requirements, including anti-money laundering and identity-verification obligations.
3. Relationship to Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, store, and protect personal information.
The Privacy Policy forms an integral part of these Terms and should be read together with them.
If these Terms conflict with our Privacy Policy regarding the handling of personal information, the Privacy Policy will prevail.
4. Eligibility and User Responsibilities
You may use the Services only if you:
- Are legally able to enter into a binding agreement.
- Comply with all applicable laws and regulations.
- Provide accurate and complete information when required.
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. We do not knowingly provide Services to minors.
5. Services; Regulatory Compliance; Risk Controls
Services. We provide technology-enabled payment and transfer services and related features (the "Services"). We may modify, suspend, or discontinue any part of the Services at any time.
Eligibility. You may use the Services only if permitted by applicable law and you satisfy onboarding, verification, and ongoing eligibility requirements we communicate.
Regulatory Compliance & Controls (RPAA/MSB/AML/KYC). Because the Services involve payment and transfer activity, Safebridge may be subject to, or may choose to operate in alignment with, Regulatory Requirements, including requirements related to operational risk management, incident response, safeguarding of end-user funds, identity verification, and AML/KYC compliance (as applicable).
Where permitted or required, we may take reasonable measures to comply with Regulatory Requirements and to protect users, Safebridge, and the integrity of the Services.
6. Transaction Review; Holds; Refusals; Limits
To manage compliance, fraud, security, operational risk, and safeguarding obligations, we may monitor activity, request additional information, apply transaction limits, delay processing, place holds, suspend or refuse transactions, freeze or restrict access, or terminate access where we reasonably believe it is necessary.
- Comply with law or a lawful request.
- Prevent or investigate fraud, unauthorized activity, or misuse.
- Address operational or security risk, including incidents.
- Protect end-user funds or the Services.
You agree to provide accurate information and reasonable cooperation in connection with onboarding, verification, compliance checks, transaction review, investigations, or risk management processes. Failure to do so may result in delays, refusal of transactions, restriction, or termination of access.
We do not guarantee that a transaction will be completed, that access will be uninterrupted, or that a specific feature will always be available.
7. Services and Use Restrictions
Safebridge provides payment, transfer, and related financial services subject to regulatory, compliance, and risk-management requirements. You agree not to:
- Use the Services for unlawful, fraudulent, or prohibited activities.
- Circumvent security, compliance, or verification controls.
- Provide false, misleading, or incomplete information.
- Interfere with the security, compliance, or operational control of the Services.
Safebridge Transfers Inc. may suspend, restrict, or terminate access where required by law, regulation, or risk considerations.
8. Account Registration, Verification, and Third-Party Providers
Certain Services require account creation and identity verification. You agree to:
- Maintain the confidentiality of your account credentials.
- Notify us promptly of unauthorized use
- Cooperate with identity, compliance, and verification checks required by law.
To meet legal and regulatory obligations, Safebridge may require identity verification and may use trusted third-party service providers, such as payment processors or verification services, consistent with our Privacy Policy.
Such third-party providers act on Safebridge's behalf and do not obtain ownership of user data.
9. Fees and Transactions
Applicable fees, limits, processing times, and transaction details may vary by service and will be disclosed before completion of a transaction.
By agreeing to these Terms, you authorize Safebridge to process transactions in accordance with your instructions, subject to applicable laws and safeguards.
10. Data Retention
Safebridge retains personal information only as long as reasonably necessary for the purposes described in our Privacy Policy, to provide the Services, and as required for legal, regulatory, audit, security, and dispute-resolution purposes or to enforce agreements.
Retention periods may vary depending on the type of information and applicable legal obligations. When information is no longer required, it is securely destroyed, deleted, or irreversibly anonymized, as appropriate in accordance with our Privacy Policy.
Notwithstanding the above, we may retain information longer where required or appropriate to comply with legal obligations, respond to lawful requests, enforce agreements, manage investigations, prevent fraud or security threats, or where information is subject to a legal hold, dispute, or investigation.
11. Intellectual Property
All content, trademarks, logos, software, and materials associated with the Services are owned by or licensed to Safebridge Transfers Inc. and are protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable right to use the Services for their intended purposes only.
12. Service Availability and Modifications
Safebridge may modify, suspend, or discontinue any part of the Services at any time, including for maintenance, security, regulatory compliance, or operational reasons.
We may also update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
13. Disclaimers and Limitation of Liability
The Services are provided on an "as-is" and "as-available" basis, to the extent permitted by law. Safebridge does not guarantee uninterrupted availability or error-free operation.
To the maximum extent permitted by law, Safebridge is not liable for indirect, incidental, consequential, or punitive damages. Safebridge's total liability relating to the Services is limited to the amount of fees paid by you for the affected Services, where applicable. Nothing in these Terms limits liability that cannot be excluded under applicable law.
Nothing in these Terms limits any rights or remedies available to Consumers under applicable consumer protection laws.
14. Indemnification
You agree to indemnify and hold harmless Safebridge from claims, losses, or damages arising from your misuse of the Services, violation of these Terms, or breach of applicable law.
15. Dispute Resolution (Consumers vs Business Users)
Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiations between you and Safebridge. If the dispute cannot be resolved informally, it shall be submitted to the courts of British Columbia, Canada, which shall have exclusive jurisdiction, unless otherwise required by applicable law.
- Informal Resolution (All Users): before starting a legal proceeding, you agree to contact us in writing with a description of the issue and your desired resolution, and allow a reasonable opportunity to resolve it.
- Consumers (Court Only; No Arbitration): if you are a Consumer, disputes must be brought only in the courts located in British Columbia, Canada, unless applicable consumer protection law requires otherwise. Arbitration does not apply to Consumers.
- Business Users (Court Default; Optional Arbitration): if you are a Business User, disputes will be resolved in the courts located in British Columbia, Canada, unless either party elects arbitration.
- Optional Arbitration for Business Users: either party may elect to resolve a dispute by binding arbitration by providing written notice to the other party. If arbitration is elected, the arbitration is in English, seated in Vancouver, British Columbia, with an arbitrator mutually agreed or appointed under applicable British Columbia arbitration rules.
- Court Support for Arbitration(Businesss Users): For Business Users, either party may apply to the courts located in British Columbia for interim or injunctive relief to protect rights or property, to preserve evidence, or to enforce an arbitration award, without waiving this arbitration option.
- Class Actions: to the extent permitted by law, Business Users agree to bring disputes on an individual basis and not as a plaintiff or class member in any class or representative proceeding. This clause does not limit non-waivable rights of Consumers under applicable consumer protection laws.
16. Termination
You may stop using the Services at any time. Safebridge may suspend, terminate, or restrict access immediately where required for legal, regulatory, security, or compliance reasons.
Termination does not affect rights or obligations that by their nature survive termination.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to applicable consumer protection laws, the parties agree to the exclusive jurisdiction of the courts located in British Columbia, Canada.
